Subscription Agreement and Terms of Service
Version 0.2 · Effective date: 4 November 2026
Part A is the general Subscription Agreement. Part B contains terms specific to MimirOne. See also our Privacy Notice and Acceptable Use Policy.
Part A — Subscription Agreement
1. Parties and acceptance
This Subscription Agreement and Terms of Service (the “Agreement”) is a contract between CMB Robotics SRL, a limited liability company established under the laws of Romania, with registered office at Bacau, str. Bicaz 136, A 5, registration number CUI RO 47236726 (“MimirOne”, “we”, “us” or “our”), and the person or legal entity accepting this Agreement (“you” or “Customer”).
By creating an account, selecting an acceptance checkbox, purchasing a subscription, or accessing or using the paid Service after being presented with this Agreement, you agree to it. If you accept for an organization, you represent that you are authorized to bind it. If you do not agree, do not create an account or use the paid Service.
This Agreement incorporates the MimirOne Privacy Notice, the Acceptable Use Policy, any plan description and order details shown at checkout, and any written addendum signed by both parties. If a signed business order or addendum conflicts with this Agreement, the signed document prevails for that conflict. Mandatory rights under applicable law are not waived.
2. Definitions
- “Account” the registered MimirOne account used to access the Service.
- “Content” information, text, documents, professional history, examples, work products, prompts, feedback and other materials submitted to or generated through the Service.
- “Professional Continuum” the structured, evolving representation of a user’s professional experience, knowledge, reasoning, skills, judgments and supporting evidence that the Service helps the user build and maintain.
- “Opportunity” a particular role, engagement, project, business opportunity or other context for which the Service may organize relevant evidence and generate a tailored representation or output.
- “Output” summaries, analyses, suggested responses, profiles, representations, matches, recommendations or other material generated or assembled by the Service.
- “Subscription” a paid plan, including Huginn or Muninn, or another plan expressly identified in an order.
- “Service” the MimirOne website, platform, applications, AI-enabled features, Professional Continuum tools, Opportunity workflows, documentation and support made available under your plan.
- “Third-Party Services” external services or infrastructure used to support the Service, such as cloud hosting, payment processing, authentication, analytics or AI model providers.
3. The Service and subscription plans
MimirOne is designed to help users capture, structure, maintain and use professional experience and judgment as a Professional Continuum, and to prepare context-specific material for Opportunities. The Service may use AI systems to assist with organizing Content, identifying relationships, summarizing evidence and generating Outputs.
Your Subscription, price, billing interval, included features, usage limits and any additional conditions are those displayed at purchase or in an applicable written order. Plan descriptions form part of this Agreement. Features and limits may differ by plan and may evolve as the Service develops.
Each plan is offered for two account types, and the limits that apply depend on your account type: a Professional account (you build and maintain your own Professional Continuum) or a Recruiter account (you invite candidates to Opportunities as a recruiter or other opportunity provider). The account type is chosen at registration and shown in your account.
The individual plans are:
- Free — one-time introductory experience at no charge; not a recurring monthly plan and no payment details are required. Professional account: one Opportunity of your own, once per user, and a Professional Continuum of up to 200 knowledge nodes. Recruiter account: one Opportunity and one Opportunity Package, once per user.
- Huginn — entry plan: €59 per month or €588 per year, with the standard processing queue. Professional account: up to three new capacity-managed Opportunities per billing month, Professional Continuum creation and maintenance up to 300 knowledge nodes, Continuum enrichment, evidence management and representation. Recruiter account: up to three new Opportunities and three Opportunity Packages per billing month.
- Muninn — premium plan: €149 per month or €1,488 per year; includes Huginn features plus carry-forward of unused Opportunity allowances while the Subscription remains active and priority processing outside the standard queue. Professional account: up to ten new Opportunities per billing month and no fixed knowledge-node cap. Recruiter account: up to ten new Opportunities and five Opportunity Packages per billing month.
For a Recruiter account, one Opportunity is a single role, mandate or engagement to which any number of candidates may be invited. It is counted when it is first sent or created; a candidate accepting an invitation does not consume a further Opportunity. An Opportunity Package — the recruiter's evaluation record for one candidate within an Opportunity — is counted once per candidate, when it is first saved or concluded; later edits to the same package do not consume a further unit. Knowledge-node limits apply to Professional accounts only; Opportunity Package limits apply to Recruiter accounts only. Larger organisations may obtain custom packages scoped in a separate written order.
The current plans, prices and limits are those shown on our pricing section and at checkout; if they differ from this section, the information confirmed at checkout applies to your purchase. Prices are shown exclusive of VAT as expressly indicated at checkout. We will disclose mandatory charges before you place an order.
4. Account registration and security
You must provide accurate, current account information and keep it updated. You are responsible for safeguarding your credentials, using reasonable security measures and all activity conducted through your Account, except to the extent caused by our breach of law or this Agreement. Notify us promptly at security@cmbrobotics.com if you suspect unauthorized access.
Accounts are personal to the named user unless a business order expressly allows multiple users. You must not sell, transfer, share or make your credentials available to another person. You must be at least 18 years old or otherwise have legal capacity to enter into the contract under applicable law.
5. Subscription term, billing and renewal
Your Subscription starts when the purchase is confirmed and continues for the billing period selected at checkout, unless ended earlier under this Agreement or applicable law. The Service may require an internet connection and compatible browser or device.
Payments are processed by our payment provider, Creem, which acts as merchant of record for your purchase and issues the corresponding receipts and invoices.
You authorize the payment method selected at checkout to be charged the displayed price and applicable taxes. Where automatic renewal is enabled, the Subscription renews for successive periods of the same length until cancelled. Before payment, checkout must clearly disclose renewal, price and cancellation terms. We will provide any renewal reminders required by applicable law.
You may cancel renewal through the account or billing controls made available to you, or by contacting billing@cmbrobotics.com. Cancellation takes effect at the end of the current paid period unless applicable law provides otherwise. Unless required by law or stated in a specific offer, cancellation does not automatically refund fees already paid for the current period. This does not limit statutory withdrawal, conformity, refund or other consumer rights.
If a payment fails, we may notify you and request updated payment details. Subject to applicable law and reasonable notice where appropriate, we may restrict paid features while an amount remains overdue. Any trial, promotional price or founding-partner pilot is governed by the terms disclosed for that offer.
6. Your Content and permissions
As between you and MimirOne, you retain your rights in Content you submit. You grant MimirOne a limited, non-exclusive licence to host, reproduce, transmit, transform and process that Content only as reasonably necessary to provide, secure, maintain and support the Service, comply with law, and perform the actions you request. This licence lasts for the period needed for those purposes and is subject to the Privacy Notice and any applicable data-processing terms.
You represent that you have the rights, permissions and lawful basis needed to submit Content, including information about other people, and to authorize the processing described in this Agreement. Do not submit confidential information belonging to an employer, client or other person unless you are authorized to do so. You should remove or minimize sensitive personal data that is not needed for your intended use.
MimirOne does not acquire ownership of your Professional Continuum or your underlying professional experience merely because you use the Service. However, the Service’s software, design, models, workflows, templates and underlying technology remain owned by MimirOne or its licensors, subject to rights you retain in your Content and applicable law.
7. Outputs, AI limitations and user control
Outputs may be generated with AI and may be incomplete, inaccurate, outdated, inconsistent, biased or misleading. AI may infer relationships or produce wording that does not accurately reflect your experience, intentions or judgment. Outputs are aids to reflection, organization and communication; they are not guarantees of factual accuracy, professional suitability, recruitment success, employment, investment results or any other outcome.
You are responsible for reviewing and approving an Output before relying on it, sending it to a recruiter or employer, publishing it, or using it in a consequential decision. Do not present unverified AI-generated statements as established facts. MimirOne is not a recruitment agency, employer, legal adviser, financial adviser or professional certifier, and does not guarantee that a third party will interpret an Output as intended.
Unless a feature expressly says otherwise, MimirOne does not independently verify the truth of Content or certify a user’s qualifications. The Service must not be the sole basis for decisions concerning hiring, promotion, termination, compensation, admission, credit, insurance or other legally or similarly significant outcomes.
8. Acceptable use
You agree to use the Service lawfully and responsibly. Our Acceptable Use Policy sets out prohibited uses of the AI-assisted features in more detail, including the prohibition on NSFW and sexually explicit content, and your responsibilities. You must not:
- submit Content unlawfully, infringe intellectual-property, privacy, confidentiality, publicity or other rights, or misrepresent your authority to submit it;
- impersonate another person, fabricate credentials or evidence, or use the Service to deceive, harass, threaten, discriminate against or unlawfully profile another person;
- upload malware, attempt to compromise the Service, probe or bypass access controls, interfere with service integrity, or access another user’s Account or Content without authorization;
- reverse engineer, decompile, scrape, bulk extract, resell, sublicense or exploit the Service except where mandatory law expressly permits or we authorize it in writing;
- use the Service to develop or train a competing service by extracting or systematically reproducing its outputs or underlying structure, except to the extent prohibited by applicable law;
- circumvent plan limits, automated safeguards, rate limits or payment controls, or use the Service in a way that creates unreasonable risk, load or harm.
We may investigate suspected violations and take proportionate steps, including requesting clarification, limiting a feature, removing or restricting access to violating Content, suspending access or terminating an Account, as described in Section 13.
9. Intellectual property and licence to use the Service
Subject to this Agreement and payment of applicable fees, MimirOne grants you a limited, non-exclusive, non-transferable, revocable licence during the Subscription term to access and use the Service for your own professional purposes, within your plan limits. No ownership rights are transferred to you. All rights not expressly granted are reserved by MimirOne and its licensors.
You may use Outputs for your own professional purposes, subject to third-party rights, applicable law and the rights you may have in the underlying Content. Because AI-generated material may not be unique, similar or identical material may be generated for other users. You are responsible for checking whether an Output is suitable for your intended use.
If you send feedback or suggestions, you permit MimirOne to use them to improve the Service without restriction or payment, provided this does not grant MimirOne ownership of your Content or authorize disclosure of confidential information.
10. Privacy, security and third-party services
Our Privacy Notice explains what personal data we collect, why we process it, the legal bases relied on, retention, recipients, international transfers and your rights. Please read it before using the Service. This Agreement is not a substitute for that notice.
The Service may rely on Third-Party Services. Their availability and processing may be governed by their own terms and privacy notices. We will remain responsible for our obligations under applicable law and will not use this clause to exclude responsibilities that cannot legally be excluded. A change to a third-party provider may affect features, performance or availability.
We will implement security measures appropriate to the nature of the Service and the risks involved, but no online service can guarantee absolute security. You should retain copies of important source materials and not treat MimirOne as the sole archive of your professional records.
11. Availability, changes and beta features
We will use reasonable efforts to keep the Service available, but do not promise uninterrupted or error-free operation. Maintenance, security events, network failures, third-party outages and circumstances beyond our reasonable control may affect access.
We may improve, modify or discontinue features where reasonably necessary for security, legal compliance, product development or operational reasons. We will give notice where required by law and will not use this clause to remove statutory rights. Material changes to a paid feature may entitle you to remedies under applicable law.
Beta, preview, pilot or experimental features are provided for evaluation, may change or be withdrawn, and may be less reliable than generally available features. Any additional terms will be disclosed before you activate them.
12. Support
Support channels and service levels, if any, are those stated in your plan or separate written order. Unless expressly agreed in writing, the Service does not include a guaranteed response time, custom professional advice, data-recovery service or implementation services. Contact support@cmbrobotics.com for support.
13. Suspension and termination
You may stop using the Service at any time and cancel your Subscription in accordance with Section 5. You may request account closure and deletion as described in the Privacy Notice, subject to lawful retention obligations and technical backup cycles.
We may suspend or restrict access where reasonably necessary to protect the Service or users, investigate suspected fraud or security incidents, comply with law, collect overdue payments, or address a material breach of this Agreement. Where appropriate and legally permitted, we will give notice and a reasonable opportunity to remedy the issue. We may terminate for an uncured material breach, a serious or repeated violation of Section 8 or the Acceptable Use Policy, or where continued provision is unlawful or creates a material security risk.
On termination, your right to access paid features ends. We will provide any export or retrieval opportunity described in the Service or required by law. You should export important Content before closure. Any post-termination retention or deletion is governed by the Privacy Notice and applicable law. Sections that by their nature should survive termination—including intellectual property, accrued payment obligations, disclaimers, liability limits and dispute provisions—will survive.
14. Consumer withdrawal and statutory rights
If you are a consumer in the European Union or another jurisdiction granting mandatory withdrawal or digital-content/service rights, those rights apply in addition to this Agreement. For EU consumers, a statutory 14-day withdrawal period may apply to distance contracts, subject to the rules and exceptions applicable to the type of digital service and the way performance begins. Any request for immediate performance, acknowledgement of consequences, or consent relevant to a statutory exception must be collected separately and clearly at checkout where legally required. Nothing in this Agreement removes mandatory rights to remedies for lack of conformity or other non-waivable consumer protections.
Instructions for exercising any applicable withdrawal right: email support@cmbrobotics.com with your name, account email and purchase reference, stating clearly that you wish to withdraw.
15. Warranties and disclaimers
We will provide the Service with reasonable care and skill and in accordance with any mandatory conformity obligations that apply. Except for express commitments in this Agreement, plan descriptions or a signed order, the Service and Outputs are provided on an “as available” basis to the maximum extent permitted by law.
We do not warrant that the Service will always be available, that every Output will be accurate or complete, that the Service will identify every relevant fact or relationship, or that use of the Service will lead to any particular career, recruitment, commercial or professional result. Nothing in this Agreement excludes a warranty or guarantee that cannot lawfully be excluded.
16. Limitation of liability
Nothing in this Agreement limits or excludes liability where doing so is prohibited by law, including liability for fraud, wilful misconduct, death or personal injury caused by negligence, or other liability that cannot legally be limited.
Subject to the preceding paragraph and mandatory consumer law, neither party is liable to the other for indirect or consequential loss, loss of profit, loss of opportunity, loss of goodwill or loss of anticipated savings, to the extent such loss may lawfully be excluded. This does not exclude direct loss or any liability that applicable law requires to remain recoverable.
To the maximum extent permitted by applicable law, MimirOne’s aggregate liability arising out of or related to the Service during the 12 months preceding the event giving rise to the claim will not exceed the fees paid or payable by you to MimirOne for the Service during that period. This cap does not apply to liability that cannot legally be capped, and may not apply to consumers where prohibited by mandatory law. Business customers may agree different limits in a signed order.
You remain responsible for reviewing Outputs, maintaining independent records of important Content, and deciding what to disclose to third parties. This clause does not make you responsible for MimirOne’s own breach of applicable data-protection or other mandatory legal obligations.
17. Indemnity (business customers only)
If you use the Service in the course of business, you will indemnify MimirOne against third-party claims to the extent directly caused by your unlawful Content, your infringement of third-party rights, or your material breach of the Acceptable Use rules (Section 8 and the Acceptable Use Policy), except to the extent the claim was caused by MimirOne’s acts or omissions. We will notify you reasonably promptly, allow you control of the defence and settlement (provided no settlement imposes liability or obligations on MimirOne without its consent), and provide reasonable cooperation at your cost. This section does not apply to consumers.
18. Electronic notices and changes to this Agreement
We may send service and legal notices by email to the address associated with your Account, through in-product notices, or by publishing an updated version on our website. We will identify the effective date of material revisions and provide advance notice where required by law. If a change materially disadvantages you, applicable law may give you a right to reject it or terminate the affected Subscription. Continued use after the effective date may constitute acceptance only where permitted by law and where the notice clearly explains the change.
19. Governing law and disputes
This Agreement is governed by the laws of Romania, without depriving a consumer of mandatory protections available under the law that would otherwise apply. Disputes are subject to the competent courts determined under applicable law. Nothing in this clause restricts a consumer’s mandatory right to bring proceedings in their place of residence or use an applicable alternative dispute-resolution process.
20. General terms
If any provision is unenforceable, the remaining provisions remain in effect to the extent legally possible. A failure to enforce a provision is not a waiver. You may not assign this Agreement without our prior written consent, except where permitted by law; we may transfer it as part of a merger, reorganization or sale of the relevant business, subject to applicable law. This Agreement and incorporated documents form the agreement between you and MimirOne regarding the Service, replacing prior discussions on the same subject, except for any signed order or addendum that expressly prevails.
21. Contact
Legal notices and questions: CMB ROBOTICS SRL, Bacau, str. Bicaz nr. 136 A 5, email: support@cmbrobotics.com.
Part B — MimirOne-specific terms
The following additional terms address the particular nature of MimirOne. They form part of the Agreement and prevail over general wording only where there is a direct conflict.
22. Professional Continuum and evidence model
The Professional Continuum is a user-directed, evolving representation assembled from information you provide and information the Service helps organize. It is not an official record, independently verified CV, psychometric diagnosis, certification of competence or authoritative account of your professional identity.
You are encouraged to review, correct and remove inaccurate or outdated information and to distinguish documented evidence from recollection, interpretation, inference or AI-generated synthesis. The Service may show relationships or themes between items of Content; those relationships are analytical aids and should not be treated as objectively proven merely because the Service presents them.
23. Opportunities and tailored representations
An Opportunity is a context in which you ask MimirOne to organize relevant material or prepare a tailored representation. You control whether to create, edit, export, share or submit the resulting materials, except where you explicitly enable a feature that performs a specified action on your behalf.
Unless the product clearly and separately discloses an automated external action and you authorize it, MimirOne will not submit an application, contact a recruiter, publish content to a social network, or share your Professional Continuum with a third party merely because you create an Opportunity. You are responsible for checking recipient, content, context and permissions before sharing.
24. Professional privacy, confidentiality and sharing controls
Professional Content can contain commercially sensitive, confidential or personal information. Do not upload material you are not authorized to disclose. Before sharing an Output or granting another person access, review it for confidential information, personal data, client information, employer trade secrets and statements that could be misunderstood outside their original context.
Sharing features, public links, recruiter views, exports or integrations, if offered, may expose the information selected for sharing to recipients and systems outside MimirOne. The scope, expiry and revocation controls for each feature will be described in the interface. Do not assume that revoking access can retract a copy already downloaded, copied, forwarded or indexed by another service.
25. No guaranteed representation fidelity
MimirOne may aim to improve the consistency and evidence-awareness of a professional representation, but no fidelity score, confidence indicator, summary, relationship map or other metric guarantees that an Output fully or correctly represents a person’s experience, reasoning, values, intentions or judgment. Any such metric is an aid for review, not a certification or objective measure of a person’s worth or employability.
26. Third-party recruitment and professional decisions
Recruiters, employers, clients and other recipients make their own assessments and decisions. MimirOne does not control their criteria, interpretation, conduct or systems and does not guarantee that they will view, accept or act on an Output. You should not use MimirOne to make unlawful discriminatory assessments, covertly profile people, or make decisions about another person without a lawful basis and appropriate safeguards.
27. AI processing and model providers
Some features may send Content to third-party AI model providers or other processors to generate requested Outputs. The exact providers, processing purposes, retention settings, locations and whether data may be used to train provider models are stated in the Privacy Notice and, where applicable, a data-processing addendum. This Agreement does not itself authorize use of identifiable Professional Continuum Content to train general-purpose models for unrelated purposes.
AI systems can produce plausible but incorrect statements, omit important context, overstate certainty, or reproduce unintended patterns from training data. You should verify factual claims, dates, qualifications, metrics, quotations and other material assertions before sharing them. Do not rely on an Output as legal, medical, financial, employment or other regulated advice.
28. Data export, deletion and continuity
MimirOne will describe in its product documentation the export formats and deletion controls available for Professional Continuum data, Opportunities and related Content. If no self-service export is available, users may contact support@cmbrobotics.com to request available data, subject to identity verification, technical feasibility, third-party rights and applicable law.
Following account closure, we will delete or anonymize personal data in accordance with the Privacy Notice, applicable law and legitimate backup/record-keeping requirements. Certain data may remain in routine backups for a limited period or be retained where required by law.
29. Fair use and usage limits
Your Subscription includes the monthly Opportunity allowance, processing priority and other usage limits shown in the plan description for your account type (Section 3). Opportunity allowances reset each billing month; on Muninn, unused allowances carry forward only while the Subscription remains active and lapse when it ends. Knowledge-node limits apply to the total size of a Professional account's Professional Continuum. Capacity-managed processing means that processing times may vary based on demand and technical capacity; it is not a guaranteed completion time unless a separate service level expressly says so. Muninn priority processing means priority relative to the standard queue, not uninterrupted availability or a guaranteed result.
We may apply reasonable rate limits and fair-use controls to protect the Service and all users. We will not materially reduce a paid plan’s included allowance during a paid period except where reasonably necessary for security, abuse prevention, legal compliance or where permitted by the plan terms and applicable law.
30. Beta, pilot and founding-partner arrangements
A pilot, design-partner or founding-partner engagement may include bespoke onboarding, feedback sessions, additional usage or features that are not part of standard Huginn or Muninn. Any special fees, term, deliverables, confidentiality obligations, data handling, support expectations and termination rights should be set out in a separate written order or pilot addendum. Participation in a pilot does not transfer ownership of MimirOne technology or require a participant to provide public testimonials unless separately agreed.
31. Third-party integrations and external accounts
If the Service later integrates with LinkedIn or another external platform, use of that integration may require separate permissions and will remain subject to that platform’s terms, API policies and availability. You authorize only the actions specifically described in the integration flow. MimirOne does not guarantee continued access to third-party APIs and is not responsible for changes made by the third-party provider, except for obligations imposed on MimirOne by applicable law.
32. Version and effective date
Version 0.2 — effective date: 4 November 2026.
